MODEL AGREEMENT

1. INTRODUCTION
This Model Agreement (the “Model Agreement” or “Agreement”) is entered into by and between you (“You” or “Model”) and FCS Media Technology Ltd., a Cyprian private limited company with its registered address at Strovolou, 14, MYRTIANA COURT, Floor 2, Strovolos 2011, Nicosia, Cyprus (the “Company”, “Cam4Play” “Us”, “Our”, “We”).By clicking “Accept” and providing all of the required information and documents, you are agreeing to be bound by and acknowledging your complete acceptance to the Terms and Conditions (https://cam4play.com/page/terms-and-conditions ) and this Model Agreement.
For purposes of this Model Agreement:
“Model” shall refer to any person that is registered as a Model and who provides Model Content to the Site.
“Model Content” shall refer to any format of media that is transmitted, uploaded, broadcasted or published by a registered Model to https://cam4play.com (the “Site”).
“Studio Model” shall refer to Models who are registered under a Studio’s account and who are providing Model Content on behalf of a Studio.
“Studio” shall refer to a person or entity that is registered as a Studio who contracts with Studio Models for the providing of Model Content to the Site.
Terms defined in the Terms and Conditions shall have the same meaning in this Agreement unless otherwise defined herein.
2. APPLICATION REQUIREMENTS
You may apply to become a Model by completing and submitting an application form on the Site. By submitting an application to become a Model, You acknowledge and agree that Cam4Play may decline, reject or refuse your application to become a Model for any reason and without explanation to You.
The application to become a Model will require you to provide your: Legal Name, Display Name, Email Address, Phone Number, Physical Address, Date of Birth and government issued photo identification. You will be required to upload a government issued photo form of identification and a picture of yourself holding such identification for verification purposes. For the picture, which visibly shows your face next to your government issued photo ID, you are required to also hold a piece of paper which has the current date, the word “Cam4Play” and your selected Display Name written on the paper by hand. Subject to availability, you may select a name that will be displayed to Members which will identify your Model account (a “Display Name”), provided that such Display Name is not in violation of these Terms and Conditions or any third party’s privacy or intellectual property rights. You acknowledge that Cam4Play may, in its sole discretion, require You to provide additional forms of identification as a condition to being accepted as a Model on the Site.
You hereby acknowledge that Cam4Play has the right to cooperate with any law enforcement or government agency that requests or orders Our disclosure of the identity of any Model or persons featured in the Model Content. In light of such acknowledgement, you thereby waive and hold Cam4Play, its directors, officers, managers, members, principals, employees, contractors, agents, successors and assigns harmless from any claims resulting from the disclosure by Cam4Play of any personal information to any law enforcement or government agency.
3. RULES
You agree to immediately cease performing any actions which are a violation of Our Terms and Conditions and to immediately report to the Company any violations thereof. Furthermore, You do hereby expressly acknowledge that the following conduct is prohibited and do thereby agree that you shall refrain from:
1) revealing Model’s real name, location or personal contact information of Model or Company at anytime in connection with Model’s use of the Site or creation or publication of Model Content;
2) promoting or discussing any third party or website which is not the Site;
3) engaging, participating, assisting, supporting, or facilitating any act of prostitution, sex trafficking of children, or sex trafficking by any means;
4) exchanging any personal contact information with any User or Member, or taking any action to arrange any type of interaction outside of the Site including any face-to-face meeting with a User or Member;
5) discussing with a User or Member any transaction involving any other service or product, including but not limited to any other Internet based service;
6) being under the influence of any alcohol or any illegal drug or controlled substance while recording, transmitting, uploading or publishing any Model Content;
7) holding themselves out as being someone not of the age of majority;
8) telling any person or leading someone to believe that Model participates in any actual or simulated acts of obscenity including, but not limited to, bestiality, necrophilia, child molestation, child pornography, rape, urination, defecation or any other obscene sex act;
9) having any animal, firearm or weapon appear in any Model Content; and
10) engaging in any deceptive or fraudulent activity in connection with Your Model account or any Model Content.
4. CONTENT POLICY
Models may transmit, upload or publish any type of content that is in compliance with the Terms and Conditions and this Model Agreement and does not violate any law, regulation or any third party’s privacy or intellectual property rights. You acknowledge and agree that there is no confidentiality as to any Model Content that is transmitted, uploaded or published to the Site and that You are expressly responsible for the consequences of transmitting, uploading or publishing such Model Content to the Site.
In fulfilling the goals and purpose of the Site and these Terms and Conditions; We may monitor, review, investigate, report, disclose, accept, reject, remove, refuse, display, format, modify, restrict or delete any Content or Model Content in Our sole discretion and without reason, notice or liability to You or any third party. Furthermore, Cam4Play may not review Model Content before it is published on the Site and therefore Cam4Play does not assume any liability or responsibility regarding the publishing, display or transmission of any Model Content.
Cam4Play does not permit any nudity to appear in certain areas that may be accessible to the public or unregistered users, such as in profile and biography photographs or pages or Our “Free Chat” feature. You hereby agree that You will not upload, publish, transmit or broadcast any Model Content which features nudity in any “Free Chat” session or in any profile or biography photographs or pages.
YOU ACKNOWLEDGE AND AGREE THAT ALL MODEL CONTENT MAY BE DISPLAYED, EXHIBITED, PUBLISHED, DISSEMINATED, VIEWED, DOWNLOADED, DISTRIBUTED OR TRANSMITTED IN VIOLATION OF THESE TERMS AND CONDITIONS AND DO THEREBY ACCEPT AND ASSUME SUCH RISKS ARISING IN CONNECTION THEREWITH.
5. RIGHTS GRANTED
By submitting Model Content to the Site You do hereby grant Cam4Play and the operators of the Site with a non-exclusive, universe, perpetual, royalty free, transferable and licensable license to edit, delete, modify, disguise, create, develop, adapt, produce, publish, distribute, display, exhibit, broadcast, transmit, and exploit the Model Content in all languages, in all media, whether now known or hereafter devised including without limitation, any and all internet delivery mechanisms for any purpose pursuant to these Terms and Conditions. Additionally, for all Model Content that is submitted to the Site, which is not behind a pay wall, You further grant Cam4Play and the operators of the Site with a non-exclusive, revocable, royalty free, perpetual license use to such Model Content for any promotional or marketing purposes that Cam4Play, in its sole discretion, may elect to use the Model Content for. All licenses and grant or rights set forth in this section shall continue in perpetuity unless terminated by Cam4Play or the Model who is transmitting, uploading or publishing the Model Content. Model may terminate the license to the Model Content granted to Cam4Play for use of promotional purposes by sending a notice of termination to: modelsupport@cam4play.com
6. RECORD KEEPING POLICY
You do hereby represent, warrant and certify that you possess and maintain; (1) appropriate and accurate age verification records made in accordance with and pursuant to 18 U.S.C. § 2257 et. seq. for every individual that is featured in any Model Content that You transmit, upload or publish to the Site and (2) a written record of every individual that is featured in any Model Content that You transmit, upload or publish to the Site that evidences and affirms each individual’s knowing and voluntary consent to being featured in such Model Content and to having such appearance being published and exhibited on the Site.
You do further represent and warrant that all such information and documentation related to the age verification records are correct, accurate and not falsified. You shall indemnify and hold the Company, the owners and operators of the Company and the Site as well as their members, managers, officers, directors and employees harmless, against any and all expenses and/or losses, including reasonable attorney fees, incurred by the Company in connection with any misrepresentations, breaches or falsities in connection with the furnishing of information and documentation related to the above mentioned age verification records.
You hereby acknowledge and agree that Cam4Play may at any time request such age verification and consent records to any Model Content that is transmitted, uploaded or published to the Site and You agree to promptly deliver copies of any requested records to Cam4Play in the manner instructed to You within 5 business days following Your receipt of a request for such records by Cam4Play. You shall indemnify and hold harmless Cam4Play from any claims, demands, liabilities, penalties, fines, costs, expenses (including reasonable attorneys’ fees), damages and losses incurred by Cam4Play as a result of your reach of this section.
7. REPRESENTATIONS & WARRANTIES
As a condition to being permitted to transmit, upload, broadcast or publish Model Content to the Site, You hereby represent and warrant that all Model Content that You transmit, upload or publish on the Site:
1) Is in compliance with these Terms and Conditions and this Model Agreement;
2) Only features You and/or other Models who are registered on the Site who are at least 18 years of age as of the date that the Model Content was created;
3) Only features You and/or other Models who are registered on the Site who have expressly consented to appearing in the Model Content and have authorized You to transmit, upload, broadcast and publish the Model Content on this Site;
4) Only features You and/or other Models who are registered on the Site who have furnished government issued photo identification which demonstrates that such individuals have reached the age of 18 as of the date that the Model Content was created;
5) Is accompanied by all appropriate age verification record keeping documentation as required under 18 U.S.C. § 2257 et. seq;
6) Is owned by You;
7) Does not infringe upon the intellectual property or privacy rights of any third party;
8) Is not duplicative of other Model Content that You have transmitted, uploaded, broadcasted or published to the Site;
9) Does not involve any type of deceit, misrepresentation, fraud or any form of falsification;
10) Does not contain any depictions of implied, simulated or real instances of; (i) “revenge porn”; (ii) sexual activity involving minors; (iii) rape; (iv) suicide; (v) necrophilia; (vi) genital mutilation; (vii) illegal substances; (viii) bestiality; (ix) or any behavior that may be deemed as being unlawful or obscene; and
11) Is not in violation of any law, regulation or treaty and does not involve persons or contain any depictions of individuals involved in sex trafficking, prostitution or contain content that is obscene, lewd, defamatory or libelous.
8. PAYMENT
You may be required to provide certain tax documentation to Company as a condition to being able to receive payouts. In order for payment to be remitted to You, a valid payout method must be added to Your account. Models must enter their payment information in the “Payment Information” section of the “Account Settings” area on the Site. The availability of payment methods, such as wire payment and e-wallets, vary from time to time and are made available at the sole discretion of the Company. Models are expressly and solely responsible for the correctness and accuracy of their payment information. In the event payment is made to a Model through a third-party payment service, such payment service shall be solely responsible for remitting payments to Model and Company shall be deemed to have satisfied its obligations in connection therewith.
Models may set their own price in tokens to allow Members access to various types of Model Content. Model commissions are calculated as a percentage depending on the type of Model Content. Model’s commission percentages are stated in the “Commission” section of the Site’s “Account Settings” area and is stated as “Model Earnings %” in the Model’s “My Earning” section of the Site’s “Account Settings” area. At its sole discretion; Company may revise or amend the Model’s commission percentage. Company will provide notification to Model in the event of any such revision or amendment through an email. Models continued use of the Site shall be deemed Model’s acceptance to any revised or amended commission percentages. The Company shall provide payment to Model at a rate of $0.10 per token of Model’s commission.Model may request payout at any time, subject to an overall payment minimum as specific to the Model’s requested payout method.
Models designated as “Studio Models”shall only have a display of “Payouts” but cannot request a payout. Studio Models shall receive payments directly from the studio per their independent arrangement. The owner of the Studio Model account shall be responsible requesting payouts, receiving Model payments for Models under their Studio Model account and also establishing the Model commissions for those that are under their Studio Model account. The Studio Model receives payment from the Studio direct via their own independent arrangement.
Deductions from any monies earned may occur in the event of any violation of our Terms and Conditions, this Model Agreement or if refunds or chargebacks are issued in connection with Your Model Content. Any taxes that We are required to collect or pay shall be charged to you at the time a purchase or payment is made and that such taxes may include value added tax, excise tax, duties, custom fees and others. You acknowledge and agree that you are responsible for You are an independent contractor and not an employee of Cam4Play and therefore acknowledge that it is Your responsibility to obtain any licenses necessary and to pay taxes for income earned as an independent contractor of the Company and that You are not entitled to any type of “employee” benefit from Company including, but not limited to, worker’s compensation, disability insurance, vacation or sick pay and You will not be reimbursed for any costs or expenses or expenses.
9. TERMINATION
Cam4Play has the right at any time, in its sole discretion, and without notice to remove, disable, modify and redact any Model Content and to disable, terminate, void or delete any Model account that is registered to the Site. We reserve the right to request supporting documentation regarding any Model Content or any persons featured therein.
10. AMENDMENTS
Cam4Play shall notify You in advance prior to any amending, changing or revising any terms of this Agreement. In the event Cam4Play makes any amendments, revisions or changes to this Agreement; You expressly agree to act in accordance with such changes to ensure that You remain compliant with the duties and obligations set forth under this Agreement. If You do not agree or accept any change or modification to this Agreement; you may cease providing services to the Site or terminate this Agreement. Your failure to terminate or cease rendering services shall be conclusive of your acceptance of the modifications. In case of any queries, You may contact: modelsupport@cam4play.com
